We do not knowingly collect information from children under 18, and the Site is not directed at them. We do not collect payment card data through the Site.

Please read these Terms and Conditions ("Terms") carefully before using www.latamfoods-us.com (the "Site"), operated by Latam Foods LLC ("Latam Foods," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. About the Site

The Site provides information about LatAm Foods and its products, including seaweed and food ingredients, and allows businesses to contact us, request quotes, and submit inquiries. The Site does not process online payments. All sales are concluded through separate written agreements, purchase orders, or invoices between LatAm Foods and the buyer.

2. Eligibility and Business Use

The Site is intended for business-to-business (B2B) use by persons acting on behalf of a company or organization. By using the Site, you represent that you are at least 18 years old and have authority to act for the business you represent.

3. No Offer; Product Information

Product descriptions, specifications, images, and prices (if any) shown on the Site are for general information only and do not constitute a binding offer. All quotations, availability, minimum order quantities, delivery terms (Incoterms), and prices are subject to confirmation in writing by LatAm Foods. We may correct errors and update product information at any time without notice.

Product specifications (including grade, moisture content, gel strength, or other quality parameters) are only binding when stated in a signed contract, confirmed purchase order, or certificate of analysis issued for a specific shipment.

4. Quotes and Orders

Submitting an inquiry or quote request through the Site does not create a contract. A contract is formed only when LatAm Foods issues a written order confirmation or the parties sign a sales agreement. Any such contract will be governed by its own terms; in case of conflict between these Terms and a signed sales agreement, the sales agreement prevails.

5. Intellectual Property

All content on the Site — including text, graphics, logos, images, product data, and design — is owned by or licensed to LatAm Foods and is protected by copyright, trademark, and other intellectual property laws. You may view and print Site content for your internal business use in evaluating our products. You may not copy, reproduce, republish, distribute, or create derivative works from Site content for any other purpose without our prior written consent.

"Latam Foods" and related logos are trademarks of LatAm Foods. Nothing on the Site grants any license to use our trademarks.

6. Acceptable Use

You agree not to:

Attempt to gain unauthorized access to the Site, its servers, or any connected systems;

This disclaimer applies to the Site only. Warranties applicable to products sold by LatAm Foods, if any, are set out exclusively in the applicable sales agreement or order confirmation.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATAM FOODS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the above limitations apply to the fullest extent permitted by law.

11. Indemnification

12. Export Compliance and Sanctions

You agree to comply with all applicable export control, customs, and economic sanctions laws, including those of the United States. You represent that you are not located in, and are not acting on behalf of any person or entity located in, any country or region subject to comprehensive U.S. sanctions, and that you are not a sanctioned or restricted party under applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

15. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Latam Foods regarding use of the Site.
